Experience and Education:

*** Juris Doctor (J.D.) and 4+ years of mergers and acquisitions experience, insurance industry experience preferred.

*** Strong familiarity with preparing and reviewing engagement letters, confidentiality agreements, indemnification provisions and risk management analyses.

*** Ability to assess accuracy of statements and assurances in the representations and warranties from sellers in mergers and acquisitions transactions.

Shall:

*** Perform contractual and financial evaluations for companies involved in M&A deals in order to assess acceptable Representations and Warranties Insurance coverage.

*** Provide transactional risk insurance.

*** Review, evaluate and present analysis of due diligence procedures, operational risks and potential red flags of mergers and acquisitions deals.
